Education
Michael Z.P. Gu holds an LLB degree from Soochow University School of Law.
Michael also holds a diploma in European Law after completion of legal trainings in London University and other leading European universities under the EU-China Legal and Judicial Co-operation Programme, sponsored by Chinese Ministry of Justice and European Commission from 2002 to 2003.
Professional Qualification
Michael passed PRC national lawyer’s certificate exam in 1993 and obtained lawyer’s licence in 1994.

Work Experience
Michael has practiced law for more than 15 years. Before joining Zhong Lun, he had practiced in leading international firms and other major PRC law firms, including Linklaters, Allen & Overy, King & Wood and Jingtian & Gongcheng.

Social Activity
Michael has been actively participating in the drafting process of the PRC Anti-monopoly Law and its implementing rules. He has submitted numerous suggestions and comments to the relevant legislative authorities. He has also been invited to present keynote speeches on the topics of anti-monopoly law and other legal issues at various seminars.

Michael has also published many analytical articles on company law and securities law in China Securities Journal.

Representative Cases

Michael is one of the first lawyers practicing competition law in China. Michael has handled more than 10 merger control filings for multinational companies, such as Deutsche Post AG, Johnson & Johnson, Volvo and Applied Materials, Charthouse, Schaeffler KG since 2003. Particularly in 2008, Michael successfully submitted the first merger filing under the new Anti-Monopoly Law which also received the first approval from the Anti-Monopoly Bureau of the Ministry of Commerce of the PRC. He also frequently advises clients on the monopoly agreement and abuse of dominance issues arising from their daily operations and business agreements.
Michael’s overall experience in mergers & acquisitions covers a full range of private and public company transactions and cross-border acquisitions. He advised Citibank on its strategic investment in Guangdong Development Bank, UBS AG on its strategic investment in Bank of China, Nikko Asset Management Co., Ltd. on its strategic investment in Rongtong Fund Management Company, DaimlerChrysler AG on its share purchase of Beiqi Futian Automobile Co. Ltd, Goldman Sachs on establishment of the first PRC securities company controlled by foreign investors and Avenue Capital on its strategic investment in Century 21 China Real Estate.
Michael also advised some large-sized state-owned enterprises and private high-tech companies on their initial public offerings (“IPO”) on overseas stock exchanges as well as domestic markets. They included China Netcom’s restructuring and IPO, China Mobile’s issuing of new shares, overseas IPO of Sinotrans Group, Nasdaq listing of Netease.com and the A-share listing of Guizhou Moutai (Moutai Liquor) Co., Ltd.
In addition, Michael has acted as external counsel for many multinationals and PRC listed companies and provides general counseling service on regulatory issues and other general corporate matters, e.g. contract review and negotiation, compliance, labour issues, antitrust, etc.
