Michael Z.P. Gu is a partner of Zhong Lun Law Firm based at the firm’s Beijing headquarters. He received his LL.B. degree from Soochow University School of Law in 1993 and was licensed to practice law in the PRC in 1994. He also holds a diploma in European Law after he attended legal trainings in London University and other leading European universities under EU-China Legal and Judicial Co-operation Program, sponsored by the PRC Ministry of Justice and European Commission from 2002 to 2003. In addition, Michael holds an EMBA degree from China Center for Economic Research at Peking University.

Prior to joining Zhong Lun, Michael worked for over five years with international firms (Linklaters, Allen & Overy) and nine years with other PRC leading firms. Michael’s practice mainly focuses on Antitrust, M&A, securities offering, and general corporate. Michael is a native Chinese speaker and is fluent in English.

Professional Activity
Michael has actively participated in the drafting process of the PRC Anti-monopoly Law and its implementing rules. He has submitted numerous suggestions and comments to the relevant legislative authorities. He has also been invited to present keynote speeches on the topics of anti-monopoly law and other legal issues at various seminars.

As one of the first lawyers practicing competition law in China, Michael has handled more than 10 merger control filings for multinational companies, such as Deutsche Post AG, Johnson & Johnson, Volvo and Applied Materials, Charthouse, Schaeffler KG. Particularly in 2008, Michael successfully submitted the first merger filing under the new Anti-Monopoly Law which also received the first approval from the Anti-Monopoly Bureau of the Ministry of Commerce of the PRC. He also frequently advises clients on the monopoly agreement and abuse of dominance issues arising from their daily operations and business agreements.

Michael’s overall experience in mergers & acquisitions covers a full range of private and public company transactions and cross-border acquisitions. He advised Citibank on its strategic investment in Guangdong Development Bank, UBS AG on its strategic investment in Bank of China, Nikko Asset Management Co., Ltd. on its strategic investment in Rongtong Fund Management Company, DaimlerChrysler AG on its share purchase of Beiqi Futian Automobile Co. Ltd, Goldman Sachs on establishment of the first PRC securities company controlled by foreign investors, Scottish & Newcastle on its strategic investment in and cooperation with Chongqing Brewery Company, Volvo on its acquisition of a major PRC construction machinery manufacturer and Avenue Capital on its strategic investment in Century 21 China Real Estate. In addition, Michael advised KKR, TPG, Carlyle, and Mitsui on their landmark investments in China.

Michael also advised some large-sized state-owned enterprises and private high-tech companies on their initial public offerings (“IPO”) on overseas stock exchanges as well as domestic markets. They included China Netcom’s restructuring and IPO, China Mobile’s issuing of new shares, overseas IPO of Sinotrans Group, Nasdaq listing of Netease.com and the A-share listing of Guizhou Moutai (Moutai Liquor) Co., Ltd.

Also, Michael has acted as external counsel for many multinationals and PRC listed companies and provides general counseling service on regulatory issues and other general corporate matters, e.g. contract review and negotiation, advertising, compliance, labor issues, unfair competition, antitrust, etc. Representative clients include Coca-cola, Motorola, SunGard, AOL, Premier Farnell, Partygaming, China Education Television and China Film Co., Ltd.
